ARTICLE 1, MEMBERSHIP
The membership of the Mason County Water Conservancy Board (the Conservancy Board) shall consist of a three-member board; all members will be appointed by the Mason County Commissioners, according to the provisions of Chapter 90.80 RCW. The County Commissioners may also appoint two alternates to serve when the regular members are not available.
ARTICLE 2, MEETINGS
Meetings of the Conservancy Board shall be held monthly on the 3rd Thursday of the month at 9:30 a.m. in the Mason County Commissioners’ Conference Room, 411 North 5th Street, Shelton, WA. Special meetings may be held upon the call of the Chairperson. The initial agenda shall be set by the Chairperson, but may be amended at the meeting without special notice. Three days written notice of meetings and the meeting agenda shall be provided to each member and the Shelton Journal as the local paper record. Meetings are covered under the Washington Open Meetings Law.
ARTICLE 3, QUORUM
A majority of two members and/or alternates shall constitute a quorum for the transaction of any business that may come before any monthly or special meeting of the Conservancy Board.
ARTICLE 4, VOTING
Each regularly appointed member, or duly appointed alternate serving in the stead of a regularly appointed member, shall be entitled to one vote on any matter that may come before the Conservancy Board; provided that no member shall participate in a record of decision of the Conservancy Board until he or she has successfully completed the necessary training required as provided in Chapter 90.80 RCW. The majority vote of quorum present of the Conservancy Board shall be necessary to decide any question.
ARTICLE 5, OFFICERS
The elected officers of the Conservancy Board shall be the Chairperson and Secretary/Treasurer. The officers shall be elected at the regular meeting in April of each calendar year and shall hold office until their successors have been elected and qualified. The officers shall qualify as regularly appointed members of the Conservancy Board. The duties of the officers shall be those usually pertaining to their respective office. A Chair pro tem can be selected by the Conservancy Board when the Chairperson is absent. All members must maintain the Department of Ecology approved training or can be removed by a majority vote of the Conservancy Board.
ARTICLE 6, RECORDS AND CORRESPONDENCE.
The Conservancy Board shall establish and maintain an official mailing address to receive correspondence and applications, which will be the Mason County Department of Utilities, PO Box 578, Shelton, WA 98584. The Secretary/Treasurer shall keep a written record of all meetings, resolutions, transactions, findings, and determinations of the Conservancy Board. Said written records shall be public record and shall be available for inspection at reasonable times.
ARTICLE 7, SIGNATURE AUTHORITY
The Chairperson or Secretary/Treasurer is authorized to sign vouchers and only one signature is required. The Chairperson, Secretary/Treasurer or the Director of Mason County Department of Utilities is authorized to pick up warrants and/or Mason County reports. The Chairperson or Secretary/Treasurer is authorized to sign the annual budget and only one signature is required.
ARTICLE 8, APPLICATION FEE
Fees will be charged by the Conservancy Board to cover all costs of their deliberations. The Conservancy Board shall establish a non-refundable review fee of $250 due at the time of the application. If the application is accepted, an application fee of $750 shall be collected. A professional review fee shall also be charged, based on the estimated cost. All fees shall be receipted by the Mason County Department of Utilities and deposited with the Mason County Treasurer. The Conservancy Board will review the fees annually to determine that they truly cover the costs to consider the applications.
ARTICLE 9, REGISTERED PROESSIONALS
The Conservancy Board shall use the Mason County Small Works Roster to obtain services for registered professionals in the permit review process.
ARTICLE 10, TRAVEL
The Conservancy Board shall approve all travel expenses for Conservancy Board members prior to the initiation of travel. The Mason County Department of Utilities shall voucher any approved expenses. Travel to other Conservancy Boards to observe meeting protocol as the Conservancy Board starts its initial work needs prior approval for mileage reimbursement.
ARTICLE 11, QUASI- JUDICAL HEARING
The review of applications before the Conservancy Board will be conducted as a Quasi-Judicial Hearing. Minutes of Conservancy Board meetings will be kept and all Conservancy Board decisions will be recorded and available for public review.
ARTICLE 12, INFORMATION REQUIRED
The applicant is expected to submit required information in a timely manner. The application will be withdrawn and rejected if information is not submitted within 18 months of request for information or for non-payment of fees.
ARTICLE 13, AMENDMENTS
The Conservancy Board, on thirty days written notice to the membership, may amend these By-Laws at any regular or special meeting.
